1. Agreement to These Terms
These Terms of Service ("Terms") govern your access to and use of UrNotes, including our website, mobile applications, account features, note tools, contract tools, sharing features, and related services (collectively, the "Service"). By creating an account, accessing the Service, signing in, uploading content, locking a note, sharing a note, creating or signing a contract, or otherwise using UrNotes, you agree to these Terms and our Privacy Policy.
If you do not agree to these Terms, do not use the Service. If you use UrNotes on behalf of a company, organization, or other person, you represent that you have authority to bind that party to these Terms.
2. Eligibility
You must be at least 13 years old to use UrNotes. If you are under the age of majority where you live, you may use UrNotes only with permission and supervision from a parent or legal guardian.
You must be at least 18 years old, or the age of legal majority in your jurisdiction, to create, send, accept, or sign contracts through UrNotes. You may not use the contract features if you are legally prohibited from entering into contracts or if you do not have authority to bind the person or entity you claim to represent.
3. What UrNotes Provides
UrNotes provides tools for creating notes, saving note history, organizing folders, sharing notes, locking notes, drafting contracts, inviting other users to review or sign contracts, and keeping timestamped records of certain account actions. UrNotes is a software service. It is not a law firm, legal advisor, notary, court, escrow service, identity verification provider, or certified evidence preservation service.
4. No Legal Advice
UrNotes does not provide legal, tax, financial, compliance, or professional advice. Any contract templates, drafting tools, labels, timestamps, signatures, locking features, histories, or examples are provided for convenience only. You are responsible for deciding whether any note, contract, signature, record, or workflow is appropriate for your situation.
You should consult a qualified attorney before relying on UrNotes for important agreements, legal disputes, business obligations, employment matters, real estate matters, family matters, regulated transactions, or any situation where legal rights may be affected.
5. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate account information and to keep your email address current. Notify us promptly if you believe your account has been accessed without permission.
We may suspend, restrict, or terminate accounts that appear to violate these Terms, create security risks, infringe rights, involve fraud or abuse, or expose UrNotes, users, or third parties to legal or operational risk.
6. Your Content
"User Content" means notes, folders, contracts, comments, suggestions, signatures, names, email addresses, attachments, images, metadata, and other information you create, upload, submit, share, send, sign, or store through UrNotes. You retain ownership of your User Content, subject to the rights and permissions you grant to us and to other users.
You grant UrNotes a non-exclusive, worldwide, royalty-free license to host, store, back up, copy, process, transmit, display, format, timestamp, version, lock, share, and otherwise use your User Content as needed to operate, maintain, secure, improve, and provide the Service. This license includes the right to make User Content available to people you invite, share with, collaborate with, or contract with.
You represent that you have all rights, permissions, and authority needed to submit your User Content and to grant the rights described in these Terms.
7. Locked Notes and Immutable Records
UrNotes may allow you to lock certain notes or records. Locking is intended to make the selected content no longer editable within the Service and to preserve a timestamped record of the content as it existed when locked.
You understand that locking content may be permanent or difficult to reverse. Before locking content, review it carefully. UrNotes is not responsible for mistakes, omissions, inaccurate statements, unintended disclosures, or business or legal consequences that result from content you choose to lock.
We do not guarantee that locked notes or records will be accepted by any court, agency, company, school, employer, platform, or third party as conclusive proof of authorship, timing, originality, ownership, intent, agreement, or any other fact. Locked records may still be subject to legal challenge, evidentiary rules, technical limitations, service availability, account limitations, or lawful deletion and disclosure obligations.
8. Contracts and Electronic Signatures
UrNotes may allow users to draft contracts, invite parties, review proposed terms, suggest changes, accept contract invitations, and apply electronic signatures. You are solely responsible for the content, accuracy, legality, fairness, completeness, and enforceability of contracts you create, send, accept, or sign.
When you sign, accept, approve, or otherwise indicate agreement to a contract in UrNotes, you agree that your action is intended to serve as your electronic signature and that electronic records, electronic signatures, timestamps, audit logs, and related records may be used in connection with that transaction. You agree to conduct contract-related transactions electronically through the Service.
You may withdraw consent to use electronic records and signatures for future transactions by contacting us, but withdrawing consent may limit or prevent your use of contract features. Withdrawal does not affect the validity or enforceability of electronic records or signatures created before the withdrawal becomes effective.
To access and keep electronic records, you need a compatible device, internet access, a current browser or app version, and the ability to store or print records. You are responsible for keeping copies of contracts and records that matter to you. UrNotes does not verify each signer's identity, age, legal capacity, authority, mental state, understanding, or willingness unless a feature expressly says otherwise.
9. Sharing, Collaboration, and Groups
If you share content, invite users, join groups, or participate in contract workflows, other people may be able to view, copy, download, rely on, comment on, retain, or further disclose the content you make available to them. Share only with people you trust and only when you have the right to share the content.
UrNotes is not responsible for what other users do with content that you share or make available through the Service.
10. Acceptable Use
You agree not to use UrNotes to:
- violate any law, regulation, court order, contract, or third-party right;
- impersonate another person or misrepresent your identity, authority, or affiliation;
- forge, falsify, backdate, manipulate, or fraudulently present notes, contracts, timestamps, records, or signatures;
- upload or share content that is defamatory, harassing, threatening, abusive, exploitative, hateful, sexually explicit, or otherwise unlawful;
- infringe copyrights, trademarks, trade secrets, privacy rights, publicity rights, or other rights;
- collect, expose, or share another person's sensitive information without lawful permission;
- send spam, phishing attempts, malware, or deceptive invitations;
- interfere with, scrape, reverse engineer, overload, probe, or compromise the Service or its infrastructure;
- bypass access controls, security protections, usage limits, or account restrictions;
- use UrNotes for regulated transactions where specialized legal, identity, notarization, recordkeeping, or compliance controls are required unless you independently satisfy those requirements.
11. Moderation and Enforcement
We may review, remove, restrict, preserve, or disclose User Content when we believe it is necessary to operate the Service, enforce these Terms, protect users or third parties, respond to support requests, comply with law, prevent fraud or abuse, or address security or technical issues.
If the Service includes public, shared, social, or collaborative features, you may report abuse or objectionable content by contacting us at ssdgcomp@gmail.com.
12. Deletion, Retention, and Account Closure
You may request account deletion by contacting us. Some content may be deleted or made inaccessible as part of account closure. However, UrNotes may retain certain records when needed to preserve locked notes, signed contracts, audit logs, shared records, security records, backups, legal compliance, dispute resolution, fraud prevention, or the rights of other users who are parties to shared notes or contracts.
Deleting your account may not delete content that you previously shared with others, content that other users independently possess, records that are part of another user's contract history, or records we are legally or operationally required to retain. Backup copies may persist for a limited period before being overwritten or deleted in the ordinary course of business.
13. Privacy
Our Privacy Policy explains how we collect, use, store, and share information. By using UrNotes, you agree that we may process your information as described in the Privacy Policy.
14. Third-Party Services
UrNotes may rely on third-party providers for hosting, database services, file storage, email delivery, authentication, app distribution, analytics, security, payments, or other infrastructure. We are not responsible for third-party services that we do not control, and your use of those services may be subject to their own terms and policies.
15. Service Availability and Changes
We may modify, suspend, discontinue, limit, or remove any part of the Service at any time. We do not guarantee that UrNotes will be uninterrupted, error-free, secure, available in every location, compatible with every device, or free from data loss. You are responsible for maintaining independent copies of important notes, contracts, and records.
16. Fees and Paid Features
UrNotes may offer free and paid features. If paid features are offered, the price, billing period, renewal terms, cancellation process, and any refund rules will be disclosed at the point of purchase or by the applicable app marketplace. Taxes and marketplace fees may apply. Failure to pay may result in loss of access to paid features.
17. Intellectual Property
UrNotes, including our software, design, branding, logos, interfaces, workflows, documentation, and other materials, is owned by us or our licensors and is protected by intellectual property laws. Except for the limited right to use the Service under these Terms, no rights are transferred to you.
You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from UrNotes except as allowed by law or with our written permission.
18. Disclaimers
To the fullest extent permitted by law, UrNotes is provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. We disclaim all warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and enforceability.
We do not guarantee that any note, locked note, timestamp, audit trail, contract, signature, or record will establish proof, win a dispute, satisfy a legal requirement, or be enforceable in any particular jurisdiction or situation.
19. Limitation of Liability
To the fullest extent permitted by law, UrNotes and its owners, operators, employees, contractors, service providers, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, loss of goodwill, business interruption, legal disputes, failed transactions, or loss of access, even if we have been advised of the possibility of those damages.
To the fullest extent permitted by law, our total liability for any claim relating to the Service or these Terms will not exceed the greater of the amount you paid to UrNotes for the Service in the three months before the claim arose or $100.
20. Indemnification
You agree to defend, indemnify, and hold harmless UrNotes and its owners, operators, employees, contractors, service providers, and affiliates from any claims, losses, damages, liabilities, costs, and expenses, including reasonable attorneys' fees, arising from your User Content, your use of the Service, your contracts or signatures, your violation of these Terms, your violation of law, or your infringement or violation of someone else's rights.
21. Termination
You may stop using UrNotes at any time. We may suspend or terminate your access to the Service at any time if we believe you violated these Terms, created risk for UrNotes or other users, used the Service unlawfully, failed to pay amounts owed, or caused technical, security, legal, or operational concerns.
Sections that by their nature should survive termination will survive, including sections concerning User Content licenses, locked records, contract records, deletion and retention, disclaimers, limitation of liability, indemnification, disputes, and general legal terms.
22. Changes to These Terms
We may update these Terms from time to time. When we make changes, we will update the "Last updated" date above. Material changes may be communicated through the Service, by email, or by other reasonable means. Your continued use of UrNotes after changes become effective means you accept the updated Terms.
23. Governing Law and Disputes
These Terms are governed by applicable United States law and the laws of the jurisdiction where the UrNotes operator is legally established, without regard to conflict-of-law rules. Any dispute will be handled in the courts or forums that have lawful jurisdiction over the parties and the dispute, unless a mandatory law gives you another right.
